Welcome to EduMatch (the trade name of Sarah-Jane Thomas, LLC) — referred to in these Terms as “EduMatch”, “we”, “us” or “our”. These Terms of Use (“Terms”) govern your access to and use of the website operated by EduMatch (the “Website”) and the information, products, professional learning, and services available through the Website. These Terms also govern EduMatch’s use of any communications or content you submit to or post on the Website (“User Content”).

By accessing or using any area of the Website you accept and agree to be bound by these Terms. If you do not agree to all of the Terms, please do not use the Website.

Changes to the Terms

All rights not expressly granted to you in these Terms are reserved to EduMatch. We may change these Terms (and our Privacy Policy) from time to time by posting updated versions on the Website. Changes are effective upon posting unless we indicate otherwise. Your continued use of the Website after posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

We reserve the right to refuse service, terminate accounts, cancel orders, and restrict access to the Website where we believe such action is necessary in our discretion (including when conduct may violate applicable law or be harmful to EduMatch, its customers, affiliates, licensors, licensees or the public).

Ownership, License, and Limitations

The Website and all content, software, data and information used to provide the Website (including text, images, graphics, presentation, source code, embedded routines, and other materials), and all copyrights, trademarks, patents and other intellectual property rights in those materials, are owned by Sarah-Jane Thomas, LLC (d/b/a EduMatch) or our affiliates, licensors or licensees, and are protected under applicable laws.

Subject to these Terms, EduMatch grants you a limited, non-exclusive, non-transferable license to access and download a single copy of content from the Website for your personal, non-commercial use and solely as necessary in connection with use of any products or services offered on the Website.

Except as expressly authorized by these Terms or by separate contract with EduMatch, you may not modify, distribute, reproduce, display, perform, publish, license, create derivative works from, transfer, or sell any Website content, programming code, images or graphics. Without limitation:

  1. Reproducing, retransmitting, or republishing in whole or in part any content or code is prohibited without prior written permission.

  2. You may not frame, embed, overlay, or otherwise display the Website (or any trademark, logo, content or other proprietary information contained on the Website) with other software or third-party content.

  3. You may not use meta tags or hidden text using our names, trademarks or service marks without our consent.

  4. You may not decompile, disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Website.

You are expressly prohibited from using automated means (spiders, crawlers, scrapers, deep-links, data-mining or similar tools) to monitor, copy, download or otherwise access data or content from the Website, except that general-purpose internet search engines and non-commercial public archives may gather information for the sole purpose of displaying hyperlinks provided they use a stable IP address or range and an identifiable agent and comply with our policies.

The Website contains trademarks and service marks owned by EduMatch and third parties. You agree not to copy, use, infringe, or dilute these marks and not to alter or remove any copyright, trademark or other notices from Website content.

Use at Your Own Risk

The materials on the Website are provided for informational purposes only. You may use Website content, information, reviews, data and materials solely for personal, non-commercial purposes unless otherwise agreed in writing. Important decisions should not be based solely on Website content; you should independently verify facts important to your decision. Your use of Website materials, products or services is at your own risk. EduMatch (and its affiliates, licensors and licensees) will not be responsible for any damage or loss resulting from your use of such materials, products or services.

Your Account

Where applicable, we may assign you a unique username, password or identifier upon becoming a member of the Website. You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your devices. You accept responsibility for all activities that occur under your account. You must notify EduMatch immediately at info@edumatch.org of any unauthorized use of your account or any other security breach. You may be liable for losses caused by someone else’s use of your account.

To purchase certain products or services you must be at least eighteen (18) years old and provide a valid payment method. We reserve the right to refuse service, terminate accounts, remove content, or cancel orders at our discretion.

Links to Third-Party Sites and Third-Party Services

The Website may include links to third-party websites or services that we do not operate. These links are provided for convenience and do not constitute endorsement. EduMatch is not responsible for third-party content and disclaims liability for your access to or reliance on linked sites. Review the terms and privacy policies of third-party sites you visit.

The Website may embed media or functionality from third parties (for example, YouTube or other content hosting services). Third-party tools and services have their own terms of service and privacy practices; please review them separately.

Data Security

We maintain what we believe are reasonable physical, technical and administrative safeguards designed to protect personal information. However, no Internet transmission or data storage system can be guaranteed 100% secure. EduMatch cannot and does not warrant or guarantee the absolute security of any data transmitted to or from the Website.

Data Collection and Use

Any personally identifiable information you submit via the Website or via electronic communications (including email and SMS/text) is governed by our Privacy Policy (linked above). The Privacy Policy describes the categories of personal information we collect, how we use that information, legal bases for processing, data subject rights, data sharing and cross-border transfer practices, and other details. If EduMatch processes personal data on behalf of a client (for example, a school or district), we will comply with applicable contracts and Data Processing Agreements.

Data-Breach Notification

EduMatch maintains reasonable safeguards designed to protect personal information. In the event EduMatch becomes aware of a security incident that results in unauthorized access to or acquisition of personal information (a “Data Breach”), we will:

  1. Take reasonable steps to contain, investigate and remediate the incident;

  2. Notify law enforcement and regulatory authorities as appropriate;

  3. Provide timely notice to affected individuals as required by applicable law or, when not legally required, within a reasonable time after we become aware of the incident; and

  4. Provide affected individuals with information on the nature of the incident, types of data involved, EduMatch’s response, and reasonable steps individuals can take to protect themselves.

If the incident affects personal data EduMatch processes on behalf of a client, EduMatch will promptly notify the client and cooperate in investigation and remediation. For questions about a potential incident, contact info@edumatch.org.

Data Retention

EduMatch retains personal information only as long as necessary to fulfill the purposes for which it was collected, to satisfy legal, tax or accounting obligations, to resolve disputes, to enforce agreements, and to support legitimate business purposes. Typical retention periods:

  • Account and contract records (clients/customers): retained for the duration of the business relationship and 7 years after termination.

  • Payment and billing records: retained for 7 years for accounting and tax purposes.

  • Professional-learning attendance and certificate records: retained for 7 years or as required by contract. Student records are governed by separate contracts/DPA and applicable law (e.g., FERPA).

  • Recorded events and session recordings: retained for 3 years by default unless the contract specifies otherwise.

  • Marketing/mailing list and consent records: retained until consent is withdrawn and for 3 years thereafter.

  • Security and system logs: retained for 1 year, or longer where required.

  • Job applicant materials: retained for 3 years unless otherwise requested.

These periods may be extended when required by law or legitimate business needs. Individuals may request deletion or correction of personal data as permitted by law; EduMatch may retain certain information when necessary to comply with legal obligations, enforce agreements, or for legitimate purposes. Professional-Learning Materials and License

EduMatch retains all right, title and interest in and to all professional-learning content, materials, recordings, templates and other deliverables created or provided by EduMatch (“EduMatch Materials”). Subject to full payment of fees and any contractual terms, EduMatch grants the client a limited, non-exclusive, non-transferable license to use the EduMatch Materials solely for internal educational and administrative purposes within the client’s organization. No right to sublicense, resell, or otherwise commercialize EduMatch Materials is granted without EduMatch’s prior written consent. Specific license terms for a given engagement will be set forth in the client contract.

User Content

You may be able to post or submit content (including reviews, opinions, materials or other communications) to the Website (“User Content”). By posting or submitting User Content you:

  1. Grant EduMatch and its affiliates and licensees a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, adapt, translate, create derivative works from, publicly display, publicly perform, and distribute such User Content in any media or technology now known or later developed;

  2. Grant the right to use the name you provide in connection with such submission; and

  3. Represent and warrant that you own or control all rights in the User Content and that your submission does not violate these Terms or the rights of any third party.

Other users may access, view, store or reproduce your User Content for personal use and such use may include disclosure to third parties. By posting User Content you waive any claim that EduMatch misappropriated it.

EduMatch does not endorse User Content and disclaims liability for User Content posted by users. EduMatch reserves the right (but is not required) to remove or modify User Content that violates these Terms or our Community Guidelines.

Notification of Claims of Infringement

If you believe material on the Website infringes your copyright or other intellectual property rights, please contact us at info@edumatch.org with the following information: identification of the copyrighted work, identification of the allegedly infringing material and its location on the Website, contact information for the complaining party, a statement of good faith belief that the use is unauthorized, and a statement that the information is accurate under penalty of perjury. EduMatch will investigate and take appropriate action.

Disclosure; Enforcement; Termination

We may disclose information about you (including your identity) if we determine such disclosure is necessary in connection with an investigation or complaint, to identify or bring legal action against a party causing injury to EduMatch or users of the Website, or as required or permitted by law. We may preserve and store communications and data and disclose them if reasonably necessary to (i) comply with legal process, (ii) enforce these Terms, (iii) respond to claims that data violates the rights of others, or (iv) protect the rights, property or safety of EduMatch, our affiliates, employees, users or the public.

EduMatch may, in its sole discretion and without prior notice, terminate your access to the Website and block future access if we determine you have violated these Terms or other applicable policies or agreements. These remedies are in addition to other legal or equitable remedies.

Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, INFORMATION, MATERIALS, PRODUCTS AND SERVICES AVAILABLE THROUGH THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EDUMATCH (AND ITS AFFILIATES, LICENSORS AND LICENSEES) DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUMATCH (AND ITS AFFILIATES, LICENSORS AND LICENSEES) SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOSS OF BUSINESS OR DATA), EVEN IF EDUMATCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EDUMATCH’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR ANY PRODUCTS OR SERVICES PROVIDED BY EDUMATCH SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY THE CLIENT TO EDUMATCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. WHERE NO FEES HAVE BEEN PAID, EDUMATCH’S LIABILITY SHALL BE LIMITED TO ONE HUNDRED DOLLARS ($100), TO THE EXTENT PERMITTED BY LAW. SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

Indemnity

You agree to indemnify, defend and hold harmless EduMatch and its affiliates, licensors and licensees from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys’ fees) arising from or related to:

  1. Your breach of these Terms;

  2. Third-party claims arising from our use of materials you provide (including claims of copyright or other intellectual property infringement); or

  3. Any dispute between you and a third party.

Terms of Service for SMS / Text Messaging

  1. Opt-In / Confirmation. By providing your mobile number and opting in to EduMatch’s text messaging service, you consent to receive recurring informational and promotional messages from EduMatch related to events, registration, professional learning, and other services. Message frequency will vary by program.

  2. STOP. To cancel SMS messaging at any time, text STOP to the shortcode or number used to send messages. After sending STOP, we will confirm your unsubscribe and you will no longer receive SMS messages from that program.

  3. HELP. For help, reply HELP to the message or contact info@edumatch.org.

  4. Carriers. Carriers are not liable for delayed or undelivered messages.

  5. Rates. Message and data rates may apply; contact your wireless provider for details.

  6. Privacy. For privacy inquiries regarding text messaging, please see our Privacy Policy.

Miscellaneous

  • Force Majeure. EduMatch is not responsible for delays or failures to perform resulting from causes beyond our reasonable control (events of force majeure).

  • Survival. Provisions that by their nature should survive termination (including ownership, indemnity, limitation of liability, confidentiality and dispute resolution provisions) shall survive.

  • No joint venture. Nothing in these Terms creates a joint venture, partnership, employment or agency relationship between you and EduMatch.

  • Governing Law and Venue. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflicts of law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Virginia for disputes arising under these Terms.

  • Class Action Waiver. You agree that claims arising out of or relating to the Website or these Terms shall be resolved individually and not as part of any class action, to the extent permitted by law.

  • Notices and Electronic Communications. Notices, disclosures and other communications from EduMatch to you electronically shall satisfy any legal requirement that such communications be in writing.
